陷阱都在合同里!你知道你签字画押的塞浦路斯购房合同里写的是什么吗?

塞浦路斯购房:律师篇

我们大多数人在海外购房或购买项目,当项目标的基本考察完毕,项目价格达成一致时,基本就认为大功告成!

接下来一见到合同,几十页纸的英文甚至希腊文,基本就是蒙圈,认真的会请个翻译帮粗略解释一下,不认真的就花十分钟听听大概合同里写了啥,然后九成就签字画押!

这样真的能保证你的全部利益吗?


本文将给大家分享一个刚刚发生的中国业主购买塞浦路斯项目的合同案例!我相信这是第一份完整的购买合同案例见诸自媒体。


请大家海外置业还是尽可能多留时间出来,找专业律师签订完备的保护自己利益的合同!能写进合同的项目,一定要书面写入合同。

塞岛购房律师实际现状什么样

如果运气够好,遇到好的经纪人或开发商,上述问题都很规范的操作,不会发生任何纠纷的话,你也许体会,在塞浦路斯购房根本不需要什么律师,就签个合同走个流程,那些律师费白交了!

呵呵!好吧,如果运气比较好!

如果一切顺利,房子无任何纠纷,产证也很快拿到,也有这样的可能性, 塞浦路斯大部分开发商确实还是非常友善规范的,但店大欺客霸王条款的也不是个别。


我们来看看,实际状况,在塞浦路斯购房遇到的律师大概有哪几类?

名为律师,实则中介

打着律师事务所的名号,招揽各种考察团,实则只做些翻译和中介的工作,和普通移民中介基本没有区别。只为打着律师名号卖房而已。

律师应该仅仅承担法务服务,独立律师是不会也不能向客户推荐房产的。

因为律师如果推荐开发商的房源,则将成为利益相关方,这是违背塞浦路斯的律师独立原则的。










开发商的律师

在塞浦路斯每个开发商甚至每个人都有自己的律师,大部分开发商都会委托自己的律师给予标准的售房合同。这些合同当然有利于开发商的格式条款,很多都是一些霸王条款。

其实这些合同是都可以商讨修改的。


没有律师执照,冒充律师

据《塞岛家园》了解,目前应该还没有中国人拿到欧洲律师执照,在塞浦路斯开设律师事务所的。

有一些有会计师执照的,是可以从事法律咨询服务,但不能称之为是律师。

非移民领域律师,业务不精,办事拖沓

塞浦路斯属于英系体系,岛上大大小小律师行很多,因为居民各项生活业务基本都要用到律师。

针对购房绿卡或国籍项目实操经验丰富的律师行确实也不少,但也不是满大街律师行都可以,许多律师对于购房国籍领域细节并不精通,加上塞国整体机构办事效率低下,许多事物缺乏统一标准,遇到特别情况就需要精通的有经验律师给出合理解决方案。

另外,别小看拖沓,遇到一些拖沓的律师,一封邮件一两周才回复,一件小事一两个月才回复,拖都被拖死了,这在很多律师行非常常见。

塞浦路斯某大房开国籍项目合同样本

在国内,我们比较容易迷信大开发商,相信其规模效应,国企央企标准。那么我们来看看在不久之前,也就是2017年,某两位中国业主在利马索购买了塞浦路斯某知名开发商的国籍项目,两人分别已经缴纳了200万欧全款和20万欧定金。最近才发现自己的缴款方式极为苛刻,但项目何时收房和办理房产证却是遥遥不可期!正式合同没有签就已交了全款和部分预付款,且此大开发商拒绝修改合同条款。

辗转之下,两位业主Z**和X** 找到这位S.A.律师,看过合同之后,S.A.律师给出如下意见(见下文,看后觉得触目惊心),目前S.A.律师已将此大开发商诉诸法律途径,并将帮助中国客户追回损失。期间此大开发商派人寻找S.A.律师,想要私下了结,被S.A.律师拒绝。 


我们原文不动的粘贴一下该合同及S.A.律师修改要点:

Based on the documents we have in our possession and which you have sent us today, for the clients Messrs Z** and X** , regarding the two Contracts of Sale which actually have the same terms and conditions, as advocates we would advise you to emphasize on the following points: 

通过今天我收到的2个客户Z**和X** 的2个相同的合同,作为律师我建议您应该注意以下的几点。


Regarding the Contract of Sale:

1) The Contract of Sale should not include the preliminary architectural plans but the final architectural plans with the exact dimensions. Also the Contract of Sale should refer to the precise square meters of the property that the clients will buy and as well as all the square meters for storage rooms. 

合同要有最终的标有实际尺寸的设计图纸而不是现在的合同中说的初始图纸。合同应该标有具体购买房子和储藏间的尺寸。


2) The Contract of Sale should provide the parking places and these plans should be attached to the Contract of Sale as an appendix, if applicable. 

合同中应该涉及是否有停车位,如果有应该作为附件附在合同中。 

 

3)  Regarding paragraph 2 of the Contract of Sale,  we consider that the amount to be paid as an advance should be in relation to the works carried out on the day of the payment.

合同第二段,付款的节奏应该和房子的建造节奏吻合。 

 

4)   We consider that the rate of interest per annum 9% is excessive. In clause 3, we disagree on the actions that the Vendor may do in case of a breach of the agreement by the Buyer. 

我们认为如果买方不按时支付卖方,所交纳的9% 的利息是不合理的。我们不同意在第三段中提到的如果买方违约,卖方采取的相关行动或措施。


5)   In clause 3, we disagree on the actions that the Seller may do in case of a breach of  Contract by the Buyer. It could be stated that in the event of a breach of agreement by the Buyer, the Seller will have the right to terminate the Contract and to reserve 5%-10% of the amount as a compensation and the remaining amount to be returned, within ten days, to the Buyer. 

在第三段,我们不同意如果买方不按时支付房款,卖方的相应措施。合同中可以说如果买方违约,卖方有权终止协议,扣除5%-10%的已付房款作为赔偿,余款返还给买方。

  

6)   In clause 3.2. of the Contract and in case that the Buyer resale’s the property, it should be predetermined the charge of the Seller, so in such a case the Seller could not ask for any unreasonable amount. Additionally the amount will bear no interest and no extra charges must be applied.

在3.2条款中,如果买方卖此房产,卖方需要事先决定产生的费用,所以卖方将来不会找买方要不适当的费用。另外这些费用将不设计任何利息和多余的费用。

 

7)   In clause 5, we completely disagree with the rights that the Seller has the option to amend the plans and/or proceed to any changes without the Buyer's approval.

第五条我们完全不同意此合同中提到的卖方有权在没有征得买方同意的情况下  任意修改图纸。

 

8)  Regarding paragraph 6 and the way is written in the Agreement, does not give clear date of the Completion of the works and the delivery of the property.

第六条 的内容,完全没有具体阐明卖方交房时间和完工日期。

 

9)  Regarding paragraph 7 of the agreement, and according to the procedure in such a case, the Purchaser has the right to make any alterations or additions . The Purchaser is not allowed to make any alterations or additions only in cases that these alterations or additions affect the permits issued.

第7条的内容中提及买方可以任意修改图纸,合同中应该提及买方可以在不影响拿房产证的情况下才可以修改。


10)  According paragraph 8 of the agreement, the Vendor has the right for nuisance without to minimise the period and/or specified the period. Imagine if in such a case and for a long period the Vendor cause nuisance and the Purchaser cannot enjoy his property.

第8条中的内容允许卖方无限期打扰买方。可以设想,如果买方买了房子,卖方还在旁边不停的建设其他楼层的话,买方如何出租或者使用自己的已购房产。

 

11) Now for paragraph 10 which is so important for you and for such agreements the Vendor does not SPECIFY exactly the period needed in order to obtain separate title deed for the property sold.Bear in mind that a property without title deed and/or guarantee for title deed within specific period is worth 20% less than the real value .Our opinion is that the owner of the company shall be personally responsible in such a case. 

第10条是一个非常重要的条款,对你来讲不能忽视。 卖方没有在条款中提到具体的拿到房产证的日期。因为如果没有房产证,你的房价将会比有房产证的价格低20%。我的观点是卖方公司应该有完全的责任来保证房产证的按时获得。

 

12) In Paragraph 12, the guarantee for such a property must be more than one year and must be clear that the guarantee covers all the matters of the Property and not only those that are specified on the existing agreement which are limited.

12条,房产的保修期应该至少一年。这个保修期应该涵盖所有和房产有关的质量问题。而不是这个合同中只提到的那些内容。

 

13) Regarding paragraph 15 of the agreement and following the fact that there is a mortgage and/or mortgages from a bank you have to oblige the Vendor to give you a written statement and/or letter from the bank showing that in case that you will pay the amount of €xxxx to the Vendor and/or to the bank directly, the above stated property will be free from any mortgages. In such a case you will know from the very beginning that with the payment of the amount that you agree, your property will be free from any Mortgages. Bear in mind that the Vendor is obliged to give you such a letter before any instalment.

15条款中提到卖方从银行对此开发项目有贷款。你必须要求卖方给你对于你购买的房产解除银行贷款的豁免信。上面写明你给卖方或者直接给银行多少钱。所以你可以从一开始就知道,你支付的房款不具有卖方的借贷风险。你要知道,在你支付任何钱之前, 卖方有义务你这个豁免信。


In conclusion, we consider that the contract of sale/agreement should be amended and/or provide suggestions to the Seller for the further securing of the Purchaser’s rights, since the contract of sale/agreement does not secure the important issues to the Purchaser’s benefit. 

综上所述,我们认为此合同应该需要更改,因为完全没有保护买方的利益。

 

Furthermore, in case the contract of sale/agreement is not secured in a way to provide further guarantees (even personal ones) and if any  disagreement arises between you and the Seller, such case at a Court could take 3 to 5 years to be resolved and having the uncertainty of the eventual reception of any amount, since the agreement between you and a Company of Limited Liability and its obligations does not reflect to its officer and/or shareholder of such Company.

另外需要知道的是,如果合同没有任何方式的担保(包括个人担保的话),如果合同双方产生分歧,塞浦路斯法院会花3-5年时间来解决分歧,这就使买方很难确定将来获得赔偿的或者已支付的款项回款的时间。 因为此合同是你和有限公司签订的,所以将不影响公司的任何股东或者经理的利益。
